ProjectWatchPro Fair Use Policy
Effective Date: December 03, 2025
This Fair Use Policy ("Policy") governs all users ("Users," "you," or "your") of ProjectWatchPro SaaS software and services ("Services"), provided by 1907793 Alberta Ltd. ("ProjectWatchPro," "we," "us," or "our"). By using the Services, you agree to this Policy, our Terms of Service ("TOS"), Privacy Policy, and End-User License Agreement ("EULA") (collectively, the "Agreement"). Violations may result in warnings, fees, suspension, or termination, at our sole discretion, without refund or liability.
This Policy ensures equitable resource allocation and prevents abuse. It does not confer additional rights and is enforceable solely by us. Governing Law: Governed by Alberta and Canadian federal laws, without conflicts principles. Dispute Resolution: All disputes (including Policy validity) resolved exclusively via binding arbitration in Edmonton under Alberta's Arbitration Act and ADRIC rules (one arbitrator; our costs if you initiate frivolously). Class Waiver: You waive class/collective actions; claims individual only. If unenforceable, disputes in Alberta Court of King's Bench (Edmonton; you waive venue objections).
Acknowledgment: By using the Services, you confirm you have reviewed and understand this Policy and agree it is fair and reasonable under the Business Practices and Consumer Protection Act. Basic setup is self-service via free resources (how-to videos and community forum); no paid sessions are required or included.
1. Training and Onboarding
1.1 Scope and Limitations
Training covers only standard features per our documentation. We exclude custom workflows, third-party integrations (beyond basics), data migration, or business advice. Sessions limited to two representatives; scheduled via portal (availability: Mon-Fri, 9 AM-5 PM MT). Self-Service Primary: All Users must first use free how-to videos, community forum, and live group sessions in the community for onboarding. No entitlement to one-on-one live training.
1.2 Assisted Setup
Basic configuration only (e.g., roles, templates). Excludes advanced customizations. No Complimentary Session: Setup is self-service via free weekly 1-hour community sessions (peer-led or ProjectWatchPro-staffed). Optional hands-on assistance from our team is available at $250 USD/hour (liquidated damages for time, not penalty per BPCPA s. 8). You must pre-configure (e.g., tax codes) and acknowledge no warranties for outcomes (SGA ss. 13-15 excluded).
1.3 Integration Assistance
Limited to supported platforms (e.g., QuickBooks). You provide credentials securely; warrant compliance (e.g., no sensitive data per PIPA). We exclude advice/liability for errors/compatibility. One entity per plan; expansions fee-based. Mini-DPA: We process data as PIPA/PIPEDA processor; notify breaches (72 hours); allow audits (once/year, your expense). You indemnify for your data risks.
1.4 Rules and Remedies
48-hour notice for changes; no-shows charge full fee (as liquidated damages). Late joins (>10 min) forfeit session. Appeal: Dispute fees via email (resolution within 10 days; binding). No implied duties (SGA excluded); training "as is."
2. Support Services
2.1 Requests and Scope
Support for Software bugs only; excludes integrations, training, or your issues. Submit details (screenshots, steps); incomplete requests rejected. Response SLAs: Critical – 2 hours; Major – 4 hours; Standard – 24 hours (business days). Remedies: Credits only (up to 10% monthly fees); no damages.
2.2 Delivery and Disclaimers
We use reasonable efforts but exclude warranties (SGA/BPCPA). Abuse (frivolous requests) incurs fees/throttling. You cooperate/grant access. No Liability: Excluded for delays/non-resolution (BPCPA s. 6 waiver acknowledged as fair). Indemnify us for claims from your misuse.
3. Concurrent Users and Access
Licenses per individual; sharing prohibited (breach terminates). We monitor; violations: 5-day cure notice, then suspension. Overages: 150% retroactive fees (liquidated damages). Appeal suspensions within 7 days
.4. Storage and Resources
Limits: [1 GB/User/month].
Excess: Auto-throttle/fees ($10/GB, liquidated).
Prohibited: Non-relevant storage. We may delete without notice; no liability for loss (PIPEDA retention limits observed).
5. User Behavior
Professional conduct required; violations (e.g., harassment per Criminal Code) lead to 5-day warning, then termination. Mutual: We commit to respect; disputes arbitrated. Indemnify us for your violations.
6. Definitions and Interpretation
As per EULA. Ambiguities resolved in our favor (contra proferentem waived as negotiated equivalent).
7. Amendment, Survival, and Severability
Updates posted (30 days' notice for material); continued use accepts.
Survival: All post-term (perpetual for indemnity).
